Due to the fact that they influence the users' legal rights, please review these conditions of use carefully. With their first use of the website and/or software, users are understood to have agreed to abide by and be subject to these terms and conditions. The user should cease using the website and/or software right away if they do not wish to be bound by these terms and conditions.

In accordance with these terms and conditions, "User" or "Users" refers to any third party accessing the Website (i) who is not LeadSolve Ltd's employee acting in the course of employment or (ii) a consultant or other person providing services to LeadSolve Ltd who is accessing the Website in connection with the provision of such services.

To utilise this website, a user must be at least 18 years old. The user represents and warrants that you are at least 18 years of age by using the Website and accepting these terms and conditions.

LeadSolve Ltd’s software acts as a dialler and connects the users/clients with their leads. When the user gets on the phone to one of their leads, the agent on the phone will be required to tell the lead/customer that the call is being recorded. LeadSolve Ltd records all calls, and it is the sole and exclusive responsibility of the users to inform their leads/customers that the call is being recorded. The user shall hold LeadSolve Ltd harmless against any claims from a third party with regard to any failure to mention that the call is being recorded.

Intangible Property and Proper Use

1. Unless uploaded by users, all content on the website is the exclusive property of LeadSolve Ltd, our affiliates, or other pertinent third parties. Any message, visuals, photos, sound, video, software, data collection, page layout, underlying code and software, and any other form of information that can be stored in a computer that appears on or is a part of this Website is referred to as “Content” in these terms and conditions, including any such content that Users submit.

You acknowledge that such Material is covered by copyright, trademark, database, and other intellectual property rights by your continued use of the Website. No licence or right to use any trademark, logo, or service mark displayed on the site is granted by implication, estoppel, or otherwise through the use of this website without the owner's prior written consent.

2. The user is permitted to use, access, show, and see the Content on a computer screen for the user’s commercial purposes.

3. Without LeadSolve Ltd's prior written consent, the user may not otherwise duplicate, alter, copy, distribute, or use any Content for any purposes that would be damaging to LeadSolve Ltd’s business interests as well as its business operations, business relationships and other similar things.

4. The user understands that any Content they upload through the website is their responsibility, and they are in charge of ensuring its validity, dependability, appropriateness, originality, and intellectual property rights. The user is prohibited from uploading to, disseminating through, or otherwise publishing through the Website any Content that I is secret, proprietary, false, fraudulent, libellous, defamatory, obscene, threatening, infringing upon another person's right to privacy or publicity, infringing upon another person's intellectual property rights, abusive, illegal, or otherwise objectionable; (ii) may constitute or encourage a criminal offence, violate the rights of any party, The user is not allowed to impersonate someone or anything, use a false email address or other identifying information, or otherwise misrepresent the source of any submission.

The user represents and warrants that they are the sole owner of the content that they submit, or that they otherwise have all necessary rights to the content, that the content is true and accurate, that use of the content you submit does not violate this policy and won't harm anyone, and that they will be held harmless by LeadSolve Ltd for all claims resulting from the submission of such content.

Inappropriate Use

6. The user does not have permission to use the website in the following ways:

a. in any way that interferes with another person's use or enjoyment of the website or damages or threatens to harm the website;

b. in any way that violates any relevant law, regulation, or governmental order, or that is harmful, illegal, abusive, harassing, threatening, or otherwise objectionable;

c. creating, sending, or storing electronic copies of copyright-protected content without the owner's consent.

Registration

7. The user is responsible for making sure all information provided during registration and at all other times is accurate and complete.

8. In order for LeadSolve Ltd to effectively connect with the user, the user must immediately notify the company of any changes to the information they provided when registering by updating their personal information.

9. If a user violates these terms and conditions, LeadSolve Ltd may suspend or cancel the user's registration with immediate effect for any cause that is fair.

10. By sending a written notice to LeadSolve Ltd at the address listed at the end of these terms and conditions, the user may cancel their registration at any time. The user must stop using the website right away if they do this. Any statutory rights are unaffected by the cancellation or suspension of the user's registration.

Security and Password

11. Users are required to generate passwords when they register on this website; these passwords should be kept private and not shared with anybody.

12. LeadSolve Ltd may ask the user to change their password or suspend their account if they have cause to think that there has been or will be misuse of the Website or a security breach.

Website Accessibility and Disclaimers

All online resources, including but not limited to software, tools, services, and information, are made available by LeadSolve Ltd through the Website (the Service) "as is" and "as available" LeadSolve Ltd makes no representation that the Service will be fault- or defect-free. LeadSolve Ltd disclaims all warranties—express or implied—of merchantability, accuracy of information, compatibility, and satisfactory quality to the fullest extent permissible by law. Information on the website may not be updated by LeadSolve Ltd.

17. LeadSolve Ltd makes reasonable efforts to keep the website secure and free of bugs, viruses, and other malware, but makes no warranty or guarantee in that regard. Users are responsible for their own security, the security of their personal information, and the security of their computers.

18. LeadSolve Ltd disclaims all responsibility for any website outages or disruptions.

19. LeadSolve Ltd maintains the right to modify, suspend, or discontinue all or a portion of the Website, including but not limited to any offered goods and/or services. Unless otherwise specified, these terms and conditions will continue to apply to any changed versions of the Website.

Restrictions on Liability

Nothing in these terms and conditions shall limit or exclude our or the users' liability for death or personal injury caused by our or their negligence, as applicable; exclude or restrict our or the Users' liability for fraud or fraudulent misrepresentation, or exclude or limit our or the Users' responsibility for any other matter where to do so would violate applicable law.

21. In all circumstances that LeadSolve Ltd acted lawfully and with regard to the Website, Content and LeadSolve Ltd’s services, the users acknowledge that LeadSolve Ltd will not be liable to its users for any loss or damage of any kind.

22. LeadSolve Ltd will not be liable to the user for any losses brought on by circumstances that are out of its reasonable control.

23. To the fullest extent allowed by law, LeadSolve Ltd disclaims any responsibility for the following:

a. any business losses, including those resulting from a loss of revenue, profits, business, contracts, goodwill, or chances for profit;

b. any loss or software, database, or data corruption;

c. any particular, indirect, or supplementary loss or harm.

Pricing

24. LeadSolve Ltd is always free to raise the cost of a normal monthly subscription. Any anticipated price hikes for the LeadSolve monthly membership will be disclosed to the user with at least one month's notice. Any extra users over 10 seats will result in a £100 per user monthly pricing increase that takes effect immediately.

25. A mobile number for two-way calls and SMS is set up in the user's account. Pay-as-you-go billing for SMS and call consumption is done in GBP. This works out to about £0.98 per month for the phone number rental, £0.06 each 160-character SMS message, and £0.035 per minute for outgoing phone calls (inbound calls are £0.02 per minute). Based on a variety of variables, including carrier costs, market conditions, and other unanticipated events, the cost of SMS and phone calls may change. While we will use reasonable efforts to let you know if the cost of SMS or phone calls changes, we cannot promise that we will do so for every change in price and hence, we cannot be liable, under any circumstances whatsoever, for such modifications in the cost of SMS or phone calls due to events that are beyond our reasonable control. Upon request, you can get the most recent prices.

26. LeadSolve Ltd offers a 30-day free trial to anyone who signs up for our software. Beyond the trial period, the price of our software is a flat fee of £2,500.00 per month. Please note that even though there is a free trial for the usage of the software, the users/clients would still have to pay a setup and onboarding fee of £400.00 upon signing up for the free trial. The user understands that this is in addition to the SMS and call charges that will be applied as per clause 25.

Non-Compete

27. The user will not, either directly or indirectly, develop or aid in the development of automation software that makes use of the intellectual property to which they have access through the LeadSolve system and training calls. No marketing tactics, website page templates, message templates, or other data from the LeadSolve system shall be used to start or support a business with a similar focus.

Permissions

28. By utilising LeadSolve Ltd's services, the user acknowledges, consents and fully accepts that they have the necessary authorizations and permissions to get in touch and contact with leads directly that have been processed via the LeadSolve Ltd automation system. The user acknowledges and agrees that obtaining the necessary authorizations and permissions to contact leads is exclusively their responsibility. The user understands that LeadSolve Ltd disclaims all responsibility, under all circumstances whatsoever, for any harm, damage, loss and/or injury brought about by the user's engagement with leads for which they do not have the appropriate authorization and permission.

General

29. These terms and conditions constitute the entire agreement between the parties with respect to their subject matter and supersede any prior conversations, agreements, or arrangements that may have been made with respect to such terms and conditions.

30. The User shall not assign or otherwise dispose of any of its rights under these terms and conditions. When we have a good faith belief that the rights of the users won't be harmed, LeadSolve Ltd may transfer our rights under these terms and conditions.

31. LeadSolve may use artificial intelligence (AI) to communicate with customers on behalf of the user. While we strive to ensure that our AI technology provides accurate and helpful information to customers, we cannot guarantee that every interaction will be error-free or meet the specific needs of each customer. By using our services, the user acknowledges and agrees that LeadSolve cannot be held responsible for any errors, omissions, or miscommunications that may occur during interactions between our AI technology and customers

32. We reserve the right to occasionally change these terms and conditions. The Website will be subject to these updated terms as of the publishing date. Users should frequently review the terms and conditions to make sure they are familiar with the most recent version. We will change the ‘Last Updated’ date above when we make any changes or modification to these terms and conditions.

33. These terms and conditions are not subject to the Contracts (Rights of Third Parties) Act of 1999, and no third party shall have any right to rely on or enforce any provision of these terms and conditions.

34. Any provision of these terms and conditions (or portion of a provision) that is determined by a court or other competent authority to be invalid, unlawful, or unenforceable will be deemed to be deleted to the extent necessary, and the other provisions of these terms and conditions will remain valid and enforceable.

35. Unless agreed upon, no failure or delay on the part of a party to exercise any right or remedy shall operate as a waiver of such right or remedy or of any other right or remedy.

36. Any lead data transferred into the LeadSolve automation software system by the user shall remain the sole property of the user. LeadSolve does not claim any ownership rights or interest in the lead data, and all such data shall be deemed to be the exclusive property of the user. LeadSolve will not use or disclose such lead data to any third party without the users express consent, except as required by law.

37. All disputes arising under this Agreement (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the English and Welsh courts, who shall rule this Agreement and interpret it in accordance with English and Welsh law.
